Terms of Service

These terms govern your use of Origova — the Shopify app and this website ("the service"), operated by Origova ("we," "us," "our"). By installing the app or using the service, you agree to these terms. If you're installing Origova for a business, you're agreeing on that business's behalf and confirming you have the authority to do so.

The plain-English version Origova finds the customs fields that are missing or malformed in your Shopify catalog and lets you fill them in efficiently. It never decides what your products are — every HS code, country of origin, and other value applied through the app is chosen by you. We work hard to make the tool reliable, and the legal terms below draw the line accordingly: the tooling is our responsibility; the classifications are yours.

1. What the service does

Origova scans a Shopify store's product catalog for customs and compliance data that is missing or invalid in form — HS codes, country of origin, weight, material, and product descriptions — and lets you apply values to affected products and variants in bulk, undo applied batches, and export catalog data as CSV files. Fixes are written to your own Shopify catalog through Shopify's APIs, at your instruction.

2. Not customs, legal, or professional advice

This is the most important section of these terms. Origova identifies what is missing or malformed — a variant with no HS code, a code outside the 6–10 digit format, an empty country of origin, a zero weight. It does not and cannot determine what value is correct for your products. Tariff classification and origin determination are legal determinations that depend on facts only you know.

Accordingly: every value applied through Origova is selected by you and applied at your discretion; findings are indications of incompleteness, not classification advice or a statement of what any customs authority requires; nothing in the app, this website, or our guides is customs, legal, tax, or other professional advice; and you are solely responsible for the accuracy and lawfulness of the customs data in your catalog and your declarations to any customs authority. For ambiguous classifications, consult a licensed customs broker or the relevant authority.

3. Your responsibilities

You agree to use the service only with a store you're authorized to manage and in compliance with applicable law and Shopify's own terms; to review values before applying them in bulk (undo exists, but you remain responsible for what's applied while it's applied); to keep your Shopify account credentials secure, since anyone with admin access to your store can use the app; and to provide accurate information in your dealings with us.

4. Fees and billing

Any fees for Origova are listed on the app's Shopify App Store listing and are billed through Shopify's billing system on the terms shown there, including any free trial. Fees may change; changes apply prospectively and will be presented for your approval through Shopify billing as Shopify requires. Uninstalling the app ends future charges in accordance with Shopify's billing rules. Fees don't include taxes; you're responsible for any that apply to you.

5. Your data

Origova reads and stores product catalog data as described in our privacy policy — it does not access customers, orders, or payment data. Your catalog data remains yours. You grant us the limited right to process it to provide the service: scanning, showing findings, applying the fixes you choose, keeping fix history, and generating your exports. If you send us feedback or suggestions, we may use them without obligation.

6. Our stuff

The app, this website, and their design, code, and content belong to us or our licensors. These terms don't transfer any ownership to you; they give you a limited, revocable, non-transferable right to use the service for your store while these terms are in effect. Don't copy, resell, reverse-engineer, or misuse the service, and don't use it to build a competing product.

7. Availability, changes, and Shopify

We aim to keep the service reliable, and we're honest in the app about how long things take — but we don't promise uninterrupted or error-free operation. The service depends on Shopify's platform and APIs: Shopify's rate limits govern how fast fixes can be written, and changes or outages on Shopify's side can affect the service. We may add, change, or remove features over time, and may suspend or discontinue the service with reasonable notice where practicable.

8. Disclaimers

The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that findings will catch every gap in your catalog, that exports will meet any particular authority's requirements, or that the service will be error-free.

9. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues — and, without limiting section 2, we will not be liable for customs duties, fines, penalties, held or delayed shipments, or other costs arising from the classification values you choose and apply. Our total liability for all claims relating to the service is limited to the greater of the amounts you paid us in the twelve months before the claim arose and US $50. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

10. Indemnity

You'll defend and hold us harmless from claims arising out of the customs data and classifications you apply, your products, your use of the service in breach of these terms, or your violation of law or third-party rights.

11. Termination

You can stop using Origova at any time by uninstalling it from your Shopify admin, which immediately revokes its access to your store. We may suspend or terminate access for breach of these terms or misuse of the service. Sections that by their nature should survive — including 2, 5, 6, 8, 9, and 10 — survive termination.

12. Governing law

These terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules, and any disputes will be resolved in the state or federal courts located in California, which you and we consent to.

13. Changes to these terms

If these terms change in a material way, we'll update the date at the top of this page. Continued use of Origova after a change means you accept the updated terms.
